1 Terms of use

 

1.1 GreenFlow (hereinafter referred to as " GreenFlow" , "we", "us" or "our") welcomes you. We provide you with access to our products and services via https://www.greenflow.hk/ (the "Website") subject to the following terms of use, which we may update from time to time without further notice to you .

 

1.2 Please read these terms carefully before submitting your order to us. These terms tell you who we are, how we provide products to you, how you and we can change or end the contract, what to do if something goes wrong, and other important information. If you feel that there are errors in these Terms or that any changes need to be made, please contact us to discuss them.

 

1.3 By using our Platform, you agree to these Terms. If you use our Platform on behalf of an entity, you agree to these Terms on behalf of that entity.

 

2About us and how to contact us

 

2.1 We are My Home Nature Limited , a company registered in Hong Kong, trading under the name GreenFlow .

 

2.2 For any questions or issues regarding our Platform, our Products or these Terms, you can contact us by calling our customer service team at +852 5217 2219 , or contact us by email.

 

2.3 Please refer to clause 14 and our privacy policy, which can be found at https://www.greenflow.hk/pages/privacy-policy, to understand what personal data we collect and what we use it for. It is important that you read our Privacy Policy, which may be updated from time to time, and understand how we use your information and your rights in relation to it.

 

2.4 If we need to contact you, we will contact you by telephone or via the email or postal address provided to you.

 

2.5 In these Terms, when we use the word "written" or "written", this includes writing by email.

 

3Our contract with you

 

3.1 You can place an order by following our instructions on the Platform. When we accept your order, we will email you acceptance of your order and a contract will be formed between you and me.

 

3.2 If we are unable to accept your order, we will notify you in writing and you will not be charged for the products ordered. This could be caused by:

 

( a ) The ordered product is out of stock;

 

( b ) unexpected limitations on our resources that we were unable to reasonably plan for;

 

( c ) we determine that there is an error in the price or description of the product; or

 

( d ) We are unable to meet your specified delivery deadlines.

 

3.3 We will assign an order number to each order. Please tell us your order number when contacting us about your order.

 

4our products

 

4.1 The product images on our platform are for reference only. Although we have made every effort to display colors and sizes accurately, we cannot guarantee that a device's display accurately reflects the color and size of the product. The product you purchase may differ slightly from the one pictured.

 

4.2 The packaging of the product may be different from the packaging shown on our platform.

 

5Your rights to make changes

 

If you wish to make changes to the products you have ordered, please contact us. Acceptance of changes is entirely at our discretion. We will notify you of any changes to the product's price, availability or any other matter that is necessary as a result of your requested changes and ask you to confirm whether you wish to proceed with the changes. If we are unable to make the changes or the consequences of making the changes are unacceptable to you, you may wish to end the contract (see clause 8 - Your rights to end the contract).

 

6Changes to our products or these terms

 

6.1 We may make minor changes to the Products from time to time to:

 

( a ) Reflect changes in relevant laws and regulations; and

 

( b ) Make minor technical adjustments and improvements, such as to address security threats. These changes will not affect your use of the product.

 

6.2 If we make material changes to these terms or the products, we will notify you and you can then contact us before the changes take effect to end the contract and receive a refund for any products you have paid but not yet received.

 

7Products provided

 

7.1 We will deliver the Products to the address you specify in your order as soon as possible and within two weeks of our acceptance of your order. The cost of delivery will be as shown by us to you on the Platform.

 

7.2 If the supply of our products is delayed due to an event beyond our control, then we will contact you as soon as possible and take steps to minimize the impact of the delay. As long as we do this, we will not be liable for delays arising from the event, but if there is a risk of significant delay, you can contact us to end the contract and refund any products you have paid for but not received.

 

7.3 If you request to collect the product during our office hours, you can collect it at Room C , 14th Floor, Kin Tak Industrial Building, 172 Wai Yip Street, Kwun Tong.

 

7.4 If there is no one at the address you ordered to take delivery of the products, we will tell you how to rearrange delivery.

 

7.5 If you do not collect the Products as agreed, or do not re-arrange delivery or collect the Products from the delivery warehouse after we have failed to deliver the Products to you, we will contact you for further instructions and may charge you for storage costs and Any further delivery costs. If, despite our reasonable efforts, we are unable to contact you or rearrange delivery or collection, we may end the contract and clause 10.1 will apply.

 

7.6 If we miss a delivery deadline for any product, you may treat the Contract as terminated immediately if any of the following circumstances apply:

 

( a ) We refuse to deliver the product;

 

( b ) delivery is necessary within the Delivery Period (taking into account all relevant circumstances); or

 

( c ) Before we accept your order, you tell us that delivery is necessary within the delivery period.

 

7.7 If you do not wish the Contract to be treated as terminated immediately, or do not have the right to do so under Clause 7.6 or Clause 7.7 , you may set us a new delivery period, which must be reasonable if we fail to meet it With the new delivery period, you may treat the contract as terminated.

 

7.8 If you choose to end the Contract under clause 7.6 or clause 7.7 , you may cancel your order for any products, or reject products that have been delivered. If you wish, you may refuse or cancel your order for some products (but not all products) unless separating them would significantly reduce their value. We will then refund any monies you paid to us for the cancellation of the product and its delivery. If the Products have been delivered to you, you must return them in person to the place where you purchased them, post them to us, or (if they are not suitable for post) allow us to collect them from you. We will pay the postage or charge a fee. Please call customer service +852 5217 2219 or email shopadmin@greenflow.hk to obtain a return label or arrange collection.

 

7.9 The Products will be your responsibility from the time we deliver them to your designated delivery location or you (or your organized transport operator) collect the Products.

 

7.10 You only take possession of the Products once we have received payment in full.

 

7.11 We may need certain information from you so that we can provide products to you. If so, this will already be stated in the description of the product on our platform. We will contact you to request this information. If you do not provide us with this information within a reasonable time after we ask for it, or if you provide us with incomplete or incorrect information, we may end the contract (clause 10.2 will apply), or charge a reasonable amount An additional fee to compensate for any additional work required. If so, we will not be responsible for your failure to provide information within a reasonable time after we request it, or for any failure to deliver any part of the product as a result.

 

7.12 We may need to suspend supply of products:

 

( a ) Address technical issues or make minor technical changes;

 

( b ) update the product to reflect changes in relevant laws and regulations; or

 

( c ) Make changes to the Products at your request or as we notify you of changes (see clause 6 ).

 

7.13 We will notify you in advance that we will suspend the supply of products unless the problem is imminent or there is an emergency. If we must suspend a product, we will adjust the price so that you do not pay the price of the product while the product is suspended. If we suspend a product, or tell you that we will suspend a product, once a month we will notify you and you may terminate the contract for the product, during which time we will refund you any money you have paid in advance for the product.

 

7.14 If you do not pay us for Products on time (see clause 12.4 ) and payment remains unpaid within one week of our reminding you to pay, we may suspend the supply of Products until you pay the amount you owe us. We will contact you to tell you that we are temporarily suspending supply of the product. We will not charge you for the product while the product is suspended.

 

8 Your rights to terminate the contract

 

8.1 You can terminate your contract with us at any time. Your rights when you end the contract will depend on what you purchased, whether there were errors, how we performed, and when you decided to end the contract:

 

( a ) If the product you purchase is defective or inaccurately described, you may be entitled to end the contract, have the product repaired or replaced, or receive a partial or full refund, see clause 11 ;

 

( b ) If you want to end the contract because of something we did or told you we were going to do, see clause 8.2 ;

 

( c ) If you have simply changed your mind about the Products, see clause 8.3 ;

 

( d ) In all other cases, see clauses 8.9 and 8.10 .

 

8.2 If you terminate the contract for the following reasons, the contract will terminate immediately and we will refund you in full for any products not supplied, and you may also be entitled to compensation:

 

( a ) we have told you about an upcoming change to the Products or these Terms and you do not agree to it (see clause 6.2 );

 

( b ) we have informed you that the price or description of the product you ordered is incorrect and you do not wish to proceed;

 

( c ) you have a legal right to end the contract because we have done something wrong (including our delivery being late (see clause 7.6 ));

 

( d ) Your termination of the contract may result in late supply of the product due to events beyond our control.

 

8.3 If you terminate the contract because you change your view about the product, the contract will terminate immediately and we will take back the amount of any product you have paid but not yet delivered.

 

8.4 We can terminate the contract by giving you notice, but we must have a good reason. These reasons include:

 

( a ) You fail to pay for the product on time;

 

( b ) We fail to provide you with the requested information;

 

( c ) your failure to comply with these Terms.

 

8.5 We may take back our products after the contract ends if we tell you before we notify you to terminate the contract, and we will usually end the contract with immediate effect when we notify you unless we agree otherwise with you. This will not affect your legal rights, including the right to store the product by reasonable means until we take back the product.

 

8.6 If we end the contract, we will refund the money you paid for any products but we may deduct any reasonable costs incurred by us. We may send you an email informing you of the reasons why we are ending the contract.

 

8.7 If you terminate the contract, we will:

 

( a ) A full refund to you of the price of any products not supplied, less reasonable costs incurred by us (such as the cost of delivering the products, the cost of any services we may have provided to you and our costs of recovering the products).

 

( b ) If you have received the product, you must return it to us immediately, or choose to return it to us within 7 days of our receipt of notice.

 

8.8 If you terminate the contract, we will refund you immediately or make payment within 7 days after you choose to return the product to us.

 

8.9 If you terminate the contract, the following applies:

 

( a ) You will be responsible for shipping the Products to us or enabling us to recover any costs of the Products at your instruction;

 

( b ) You are responsible for any loss in value that reduces the value of the product if that loss is due to your improper operation other than merely inspecting the product you received;

 

( c ) If we discover that you have used the product (if you have used the product and it has gone beyond a mere inspection), we may require you to pay a reasonable part of the price of the product.

 

8.10 The termination of our contract will not affect any of your rights or obligations under the contract that have been completed, including any rights or obligations arising from the termination of our contract or under any legal notice that the contract has been completed.

 

9 Price and payment

 

9.1 The prices for the Products we display on our Platform include VAT (if applicable).

 

9.2 You must pay the price of all Products and pay all additional costs, including transportation costs and insurance costs, that we otherwise expressly specify in the Contract.

 

9.3 We will send you a request to pay for the product. Your payment terms will be determined when we send you an invoice.

 

9.4 If you fail to pay on time, we may suspend the supply of the Products (see clause 7.14 ).

9Return of product after end of contract

 

9.1 If you end the contract for any reason after the products have been delivered to you, you must return them to us in person. If you exercise your right to change your mind under our good faith guarantee, you must send the goods within fourteen ( 14 ) days of telling us that you wish to end the contract.

 

9.2 We will pay the cost of returning the product (or our collection) only if:

 

(a) You exercise your right to change your mind under our good faith guarantee ;

 

(b) the product is defective or inaccurately described ; or

 

(c) You end the contract because we informed you of upcoming product changes or errors in these terms, prices or descriptions, delays in delivery due to events beyond our control, or because you have statutory rights based on our errors.

 

(d) In all other cases you must pay the cost of returning (or collecting from us) the product.

 

10Our rights to end the contract

 

10.1 If:

 

(a) you do not allow us to deliver the Products to you or withdraw the Products from us within a reasonable time ; or

 

(b) You fail to make any payment to us when the amount due is due and the payment remains unpaid within one week after we remind you that payment is due.

 

We may end the contract for the Products at any time in writing.

 

10.2 If we end the contract in the circumstances set out in clause 10.1 , we will refund any money you have paid in advance for products that have not been supplied, but we may deduct or charge you reasonable compensation for your breach of the contract.

 

10.3 We may notify you that we will stop providing the product. We will notify you at least one day before we cease supply of Products and will refund any money you have prepaid for Products that will not be supplied.

 

11Product defects

 

11.1 We guarantee that when delivered, the Products will:

 

(a) Be of commercially viable or satisfactory quality ;

 

(b) consistent with the purpose of our display ;

 

(c) be free from material defects in design, materials and workmanship ; and

 

and (d) conform in all material respects to its description on our Platform.

 

11.2 Any warranty given to you under these Terms does not apply to any defect in the Product caused by:

 

(a) Reasonable wear and tear ;

 

(b) intentional damage, abnormal storage or working conditions, accident or negligence by you or any third party ;

 

(c) you fail to operate or use the product in accordance with any instructions provided by us (including instructions related to storage, installation, use and maintenance) ;

 

(d) any changes or fixes by you or a third party ; or

 

(e) We comply with any specifications or requirements you have.

 

11.3 If you discover any defect in all or part of the products delivered, you must:

 

(a) notify us in writing as soon as possible ;

 

(b) Return the allegedly defective product to us (by mailing the product to us or allowing us to collect the product from you).

 

11.4 If a product returned under clause 11.3 is found to be defective, we may, at our option, repair or replace the defective product or refund the full price of such defective product. We have no liability to you regarding the replacement, repair or refund of defective products.

12Price and payment

 

12.1 The price of the product will be the price displayed on the order page when you place the order. We always do our best to ensure that the products we provide you are priced correctly. However, if we discover an error in the price of a product, please see clause 12.2 .

 

12.2 Despite our best efforts, the products we sell may be mispriced. If the product's correct price as of the date you order is lower than the price quoted to you, we will charge the lower amount ; but if it is higher than the price quoted to you, we will contact you to obtain your order before accepting your order. instruct.

 

12.3 We accept payment by credit card, Mastercard, UnionPay, American Express and FPS .

 

12.4 You must pay the price of the Products before we dispatch them.

 

12.5 If you think the invoice is incorrect, please contact us in time.

 

13Our liability for loss or damage suffered by you

 

13.1 Subject to clause 13.2 :

 

(a) all other warranties, conditions or terms relating to the fitness, quality or condition of the Products, whether express or implied by statute or common law or otherwise, are expressly excluded ;

 

(b) we shall not be liable to you (whether in contract, tort or otherwise) for any loss of profit or any indirect or consequential loss arising out of the supply of the Products ; and

 

(c) Our total liability to you for all losses arising from the supply of the Products will be limited to the total amount received by us for the Products.

 

13.2 These Terms do not limit or exclude our liability for:

 

(a) death or personal injury caused by our negligence or the negligence of our employees, agents or subcontractors (as applicable) ;

 

(b) Fraud or deceptive conduct ; or

 

(c) any matter for which it would be unlawful for us to exclude or limit liability.

 

14Use of personal information

 

When you register or otherwise use our Platform, you provide us with personal data, which is collected and used in accordance with the terms of our Privacy Policy, which is available at. https://www.greenflow.hk/pages/privacy-policy It is important that you read our Privacy Policy, which may be updated from time to time, and understand how we use your information and the rights you have in relation to it.

 

15 Entire Agreement

 

15.1 These Terms constitute the entire agreement between us in relation to your purchase. These Terms supersede and extinguish all other agreements, promises, guarantees, guarantees, representations and understandings between us, whether written or oral, in relation to your purchase.

 

15.2 You acknowledge that there will be no remedy for any representation, representation, warranty or guarantee (whether made in good faith or in negligence) by you not set out in these Terms.

 

16 Other important terms

 

16.1 We may transfer our rights and obligations under these Terms to another organization. We will contact you if we plan to do this. If you do not wish to continue the contract with the assignee, you may contact us within one ( 1 ) calendar month after we notify you of the assigned contract and we will refund any money you paid in advance for products that were not supplied.

 

16.2 You may only transfer your rights or obligations to another person with our written consent. However, you may transfer our good faith guarantee under clause 8.3 to a person who has taken possession of the Products. We may require the person to whom the warranty is transferred to provide reasonable evidence that he / she is now the owner of the product.

 

16.3 This contract is between you and us. No one else has any rights whatsoever except to the person to whom you transfer the warranty.

 

16.4 If a court finds part of this contract to be illegal, the remaining parts will remain valid. Each paragraph of these Terms operates independently. If any court or relevant authority decides that any of them are unlawful, the remaining terms will continue in full force and effect.

 

16.5 Even if we delay the performance of this contract, we may still perform it subsequently. If we do not insist immediately on anything you should do under these terms, or if we delay taking action to relieve you of a breach of this contract, this will not mean that you do not have to do those things, nor will it prevent us from doing so at a later date. Take action. For example, if you miss a payment, we won't chase you, but we continue to provide the product and we can still ask for payment at a later date.

 

17 Governing Law and Dispute Resolution

 

17.1 These Terms are governed by and shall be construed in accordance with the laws of the Hong Kong Special Administrative Region.

 

17.2 The courts of the Hong Kong Special Administrative Region will have exclusive jurisdiction over any dispute or claim related to these Terms.

 

17.3 Alternative dispute resolution is a process by which an independent body considers the facts of a dispute and seeks a solution without you having to go to court. If you are dissatisfied with the way any complaint is handled by us, you can contact an alternative dispute resolution provider.
